Terms of Service

    1. Acceptance of Terms

    By accessing or using livescript.live and any associated services, APIs, or applications (collectively, the "Service"), you confirm that you have read and understood these Terms, and agree to be legally bound by them. If you are using the Service on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.

    If you do not agree with any part of these Terms, you must immediately discontinue use of the Service. Continued access after changes to these Terms constitutes acceptance of the revised Terms.

    2. Description of Service

    LiveScript is a web-based platform that provides real-time transcription and keyword search across publicly available YouTube live streams. The Service is designed primarily for informational monitoring, including but not limited to prediction market research, financial commentary tracking, and news monitoring.

    Transcripts are generated using third-party automated speech recognition providers. Accuracy of transcriptions is not guaranteed. Transcripts may contain errors, omissions, or mistranscriptions, particularly for technical terminology, names, and accented speech.

    We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, including the availability of features, with or without notice. We will not be liable to you or any third party for any modification, suspension, or discontinuation.

    3. Accounts and Registration

    To access certain features of the Service, you must register for an account. You agree to provide accurate, current, and complete information during registration and to keep your account information updated at all times.

    You are solely responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify us immediately at the contact address below if you suspect unauthorised access to your account. We are not liable for any loss resulting from unauthorised use of your account.

    We reserve the right to suspend or terminate accounts that provide false information, violate these Terms, or engage in conduct we reasonably determine to be harmful to the Service or other users.

    4. Subscriptions, Billing, and Cancellation

    Certain features of the Service require a paid subscription. By subscribing, you authorise us to charge your payment method on a recurring basis (monthly or annually, as selected) until you cancel. All prices are displayed inclusive or exclusive of applicable taxes as required by local law.

    Subscriptions automatically renew at the end of each billing period unless cancelled at least 24 hours before the renewal date. You may cancel your subscription at any time through your account dashboard. Cancellation takes effect at the end of the current billing period; no partial refunds are issued for unused time within a billing period.

    We reserve the right to change subscription pricing with at least 30 days' notice to active subscribers. If you do not agree to a price change, you may cancel before the new price takes effect.

    Refunds are not issued except where required by applicable consumer protection law or at our sole discretion in exceptional circumstances. All billing disputes must be raised within 30 days of the charge date.

    5. Acceptable Use Policy

    You agree to use the Service only for lawful purposes and in accordance with these Terms. You must not:

    • Reverse engineer, decompile, disassemble, or attempt to derive the source code of any part of the Service;
    • Scrape, crawl, or systematically extract data from the Service using automated tools without our prior written consent;
    • Resell, sublicense, or commercially redistribute transcripts or Service output without explicit written permission;
    • Submit or direct the Service to process content you do not have the lawful right to process, including copyright-protected material;
    • Attempt to probe, scan, or test the vulnerability of the Service or any associated system or network;
    • Use the Service to transmit unsolicited communications, malware, or any content that is defamatory, harassing, or otherwise unlawful;
    • Circumvent any access control, rate limiting, or subscription enforcement mechanisms;
    • Use the Service in any manner that could damage, disable, overburden, or impair its infrastructure;
    • Impersonate any person or entity, or misrepresent your affiliation with any person or entity.

    Violation of this Acceptable Use Policy may result in immediate account suspension or termination without refund, and we reserve the right to pursue legal remedies.

    6. No Financial or Trading Advice

    LiveScript is an informational tool only. Nothing provided by the Service, including transcripts, keyword alerts, or any derived summaries, constitutes financial, investment, trading, legal, tax, or prediction market advice.

    You acknowledge that prediction markets, financial instruments, and speculative trading carry significant risk, and that reliance on real-time transcript data without independent verification is inherently risky. We make no representations as to the accuracy, timeliness, or completeness of any transcript.

    You are solely and exclusively responsible for any trading or investment decisions you make in connection with or reliance upon the Service. The Company expressly disclaims all liability for any financial losses arising from your use of the Service.

    7. Third-Party Content and YouTube

    The Service processes publicly accessible audio streams from YouTube. LiveScript does not own, store, or control the underlying video or audio content. Your use of content sourced from YouTube is subject to YouTube's Terms of Service (youtube.com/t/terms) and Google's Privacy Policy.

    LiveScript is not affiliated with, endorsed by, or in any way officially connected with YouTube LLC, Google LLC, or any of their subsidiaries or affiliates.

    We are not responsible for the availability, accuracy, legality, or any other aspect of content hosted on YouTube. If a stream becomes unavailable or a channel is removed, the corresponding transcript functionality will cease without notice.

    8. Intellectual Property

    All rights, title, and interest in and to the Service - including but not limited to the website, application, underlying software, design, trademarks, logos, and original content created by LiveScript - are owned exclusively by the Company and are protected by applicable intellectual property laws.

    You are granted a limited, non-exclusive, non-transferable, revocable licence to access and use the Service solely for your own personal or internal business purposes in accordance with these Terms. No other licence is granted.

    Transcripts generated by the Service are derived from third-party audio streams. You may use transcript output for personal, non-commercial research. Any reproduction, redistribution, or commercial use of transcript output requires our prior written consent.

    9. Privacy and Data

    Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the collection, use, and processing of your data as described in that policy.

    10. Disclaimer of Warranties

    THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE COMPANY EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

    • Warranties of merchantability, fitness for a particular purpose, and non-infringement;
    • Warranties that the Service will be uninterrupted, error-free, or free of harmful components;
    • Warranties as to the accuracy, reliability, timeliness, or completeness of transcripts or any other Service output;
    • Warranties that defects will be corrected or that the Service or the server that makes it available are free of viruses or other harmful components.

    11. Limitation of Liability

    TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL THE COMPANY, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR:

    • Any indirect, incidental, special, consequential, or punitive damages;
    • Any loss of profits, revenue, data, goodwill, or other intangible losses;
    • Any damages resulting from your use of or inability to use the Service;
    • Any damages resulting from reliance on transcript output for trading, investment, or financial decisions;
    • Any damages resulting from unauthorised access to or alteration of your data.

    In jurisdictions that do not allow the exclusion of certain warranties or limitation of liability, our liability shall be limited to the greatest extent permitted by law. In all cases, our total aggregate liability to you shall not exceed the amount you paid us in the 12 months preceding the claim.

    12. Indemnification

    You agree to indemnify, defend, and hold harmless the Company and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or relating to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party rights, including intellectual property or privacy rights; or (d) any content you submit to or through the Service.

    13. Termination

    We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. Grounds for termination include but are not limited to violation of these Terms, non-payment, fraudulent activity, or conduct harmful to other users or the integrity of the Service.

    Upon termination, your right to use the Service will immediately cease. Provisions of these Terms that by their nature should survive termination (including ownership, disclaimers, indemnification, and limitations of liability) shall survive.

    14. Governing Law and Disputes

    These Terms are governed by and construed in accordance with the laws of the jurisdiction in which the Company is registered, without regard to conflict of law principles. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of that jurisdiction.

    Before initiating any legal proceeding, you agree to first contact us in good faith and attempt to resolve the dispute informally within 30 days. Nothing in this clause prevents either party from seeking injunctive or other equitable relief.

    15. Changes to These Terms

    We reserve the right to modify these Terms at any time. When we make material changes, we will update the "Last updated" date at the top of this page and, where appropriate, notify you by email or in-app notice. Your continued use of the Service after changes become effective constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using the Service and cancel any active subscription.

    16. Miscellaneous

    Entire Agreement. These Terms, together with the Privacy Policy and any other policies or agreements incorporated by reference, constitute the entire agreement between you and the Company regarding the Service.

    Severability. If any provision of these Terms is found to be unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force and effect.

    No Waiver. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

    Assignment. You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations without restriction.
